COMMERCIAL MUSIC LICENSE AGREEMENT

Effective Date: August 14, 2025

Licensor: Leonard Peters

Licensee: Any individual, company, or entity, including but not limited to music streaming services (Spotify, Apple Music, Amazon Music, YouTube Music, Deezer, Pandora, Tidal, SoundCloud, and similar), production companies, advertisers, broadcasters, film studios, video game developers, and other commercial users (“Licensee”).

1. GRANT OF LICENSE

Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to:

Host, stream, reproduce, distribute, and publicly perform the musical work titled The Seeker and the Lion (“the Work”). This work can inspire healthy living and promote mindfulness.

Synchronize the Work with visual media (film, TV, advertisements, video games, online videos, etc.) to enhance self-awareness and meditation practices.

Use the Work in derivative projects, adaptations, and remixes, provided attribution is maintained.

2. OWNERSHIP

Licensor retains all copyrights and publishing rights to the Work. No ownership rights are transferred under this Agreement.

3. RESTRICTIONS

Licensee shall not:

a) Resell, sublicense, or redistribute the Work as a standalone file.

b) Claim authorship of the Work or any substantial portion thereof.

c) Use the Work in any defamatory, obscene, or unlawful context.

4. CREDIT REQUIREMENT

Licensee shall credit the Work as follows in all public uses where credits are provided:

“The Seeker and the Lion — Written by Leonard Peters”

5. TERM & TERMINATION

This license is granted for perpetual use unless terminated by the Licensor for material breach. Upon termination, all use of the Work must cease immediately.

6. FEES & ROYALTIES

Unless otherwise agreed in writing, this license is granted royalty-free after the initial licensing fee (if applicable). Any use in paid broadcast media (national TV, radio, theatrical film releases) requires a separate synchronization agreement.

7. WARRANTIES & INDEMNIFICATION

Licensor warrants they are the sole owner of the Work and have full authority to grant this license. Licensee agrees to indemnify and hold harmless the Licensor against all claims arising from their use of the Work.

8. GOVERNING LAW

Licensor warrants that they are the sole owner of the Work and have full authority to grant this license. Licensee agrees to indemnify and hold harmless the Licensor against all claims arising from their use of the Work.

IN WITNESS WHEREOF, this Agreement is deemed accepted by the Licensee upon hosting, streaming, purchasing, or otherwise using the Work in accordance with these terms, promoting a sense of mindfulness and healthy living.
